These terms apply when you use The SaaS Ledger's bookkeeping services. Your signed proposal or engagement letter sets out your package, price, and start date. If anything in that signed document conflicts with these terms, the signed document wins.
1. Who we are
The SaaS Ledger is operated by Ayman Fatima, a sole proprietor based in Pakistan (“we”, “us”). “You” means the business that signs up for our services. If you accept these terms for a company, you confirm you're authorized to do so.
2. What we do
We provide monthly bookkeeping for your internal management use, as described in your package. That can include:
- Reconciling bank, card, and payment platform accounts (such as Stripe or Paddle)
- Categorizing transactions and maintaining your chart of accounts
- Maintaining deferred revenue schedules and tying MRR to your books, following the revenue policy you and your CPA set
- Recording sales tax collected and owed
- Preparing a monthly trial balance and internal management summaries
3. What we don't do
Unless we agree otherwise in writing, our services do not include:
- Preparing or filing federal, state, or local tax returns, including income tax, sales tax, and payroll tax returns
- Preparing or filing Forms 1099 or other information returns
- Audits, reviews, compilations, or any other attest or assurance service
- Financial statements for banks, investors, buyers, or other third parties
- Setting revenue recognition or accounting policies; we follow the policies you and your CPA decide
- Tax, legal, or investment advice
We are not a CPA firm and we don't offer public accounting services. Our work is not an audit, review, or compilation, and we don't give any assurance on your financial information. It may not uncover errors, fraud, or illegal acts, though we'll tell you about anything significant we notice.
Work outside your package, such as catch-up or clean-up bookkeeping or moving to new software, is quoted separately and starts only after you approve the quote.
4. Your responsibilities
The quality of our work depends on the information you give us. You agree to:
- Give us timely access to your accounting software, bank and card feeds, and payment platforms
- Provide accurate and complete records, receipts, and answers to our questions
- Review and approve the monthly summaries, and tell us promptly if something looks wrong
- Keep your own tax filings, payments, and deadlines with your CPA or tax software
We aren't responsible for errors or delays caused by missing, late, or inaccurate information, or by problems with third-party software.
5. Fees and payment
- Fees are in US dollars unless your proposal says otherwise, and are billed monthly in advance.
- You can pay by card, ACH, or bank transfer as shown on your invoice.
- Invoices are due within 7 days. If a payment is more than 14 days late, we may pause work until it's paid. We'll email you before pausing.
- We may change your fee if your transaction volume or scope changes significantly. We'll give you at least 30 days' notice in writing.
6. Third-party software
We work inside tools you choose, such as QuickBooks Online, Xero, Stripe, and Paddle. We don't control those services and aren't responsible for their outages, errors, or changes.
7. Confidentiality and data
- We keep your financial and business information confidential and use it only to provide our services, unless the law requires us to disclose it.
- We use read-only or limited access wherever your tools allow it, and we never ask for passwords by email.
- We don't share your information with subcontractors without your written consent.
- When our work ends, we remove our access and delete copies of your data within 30 days, except where we must keep records by law.
8. Independent contractor
We work as an independent contractor, not as your employee. We decide how and when we do the work, using our own equipment, within the timelines agreed with you.
9. Limitation of liability
To the extent the law allows, our total liability for any claim relating to our services is limited to the fees you paid us in the three months before the event that gave rise to the claim. We aren't liable for indirect or consequential losses, such as lost profits, lost revenue, lost data, or missed funding.
10. Indemnity
You agree to cover our reasonable costs if a third party makes a claim against us because of information you gave us or because of your use of our work for a purpose these terms don't allow.
11. Term and cancellation
Our services continue month to month until either of us cancels. Either of us can cancel with 30 days' written notice by email. We'll finish the work for the period you've paid for, hand over your records and reports, and remove our access.
12. Assignment
We may transfer this agreement to a company we own and control, such as a US limited liability company, by giving you written notice. Your services and prices won't change because of the transfer.
13. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. If a dispute arises, we'll both first try to resolve it in good faith for at least 30 days. If that fails, the dispute will be resolved by binding arbitration held online, unless we both agree otherwise in writing.
14. Changes to these terms
We may update these terms from time to time. The current version is always on this page. If a change materially affects your scope, fees, or liability, we'll email you at least 30 days before it takes effect.
